Preliminary :

a) Merchandise is brand new, genuine, authentic, with regular tags & labels, legitimately distributed by authorized Europe-based sellers, with proper documentation to proove origins.

b) It will be considered as agreed and not negociable, that the following terms and conditions have been read, understood and accepted by every party that confirms a payment, accordingly to a proforma issued by Eceelot.

1. We deal with stocklots of designer's / brand name's apparels and accessories, for men, women and children. This consists in overstocks, surplus, cancel orders, end-of-series ; from current season and previous year collection.
2. For all prices and products, we reserve the right to make adjustments due to errors, changing market conditions, product discontinuation or typographical errors. Eceelot is not responsible for brand-owners's, their authorized distributors and stock-houses' price changes, which may occur at any time without notice.
3. Eceelot reserves the right to refuse any orders.
4. Stocklots are sold by the lot, and minimum order may apply.
5. Pictures provided on this website are non-contractual illustrations, and then are not part of a contract of sales.
6. Goods are sold and shipped with explicit commercial invoice, and a letter of indemnity if requested, to certify origins of the merchandise.
7. Once a proforma is issued, stock is reserved "as-agreed" during the buying process (according to a packing-list: sizes, colours, models...) ; for a delay of 48 hours, time for the buyer to provide a proof that payment has been initiated.
8. After that delay and considering we are in liquidation/clearance process, packing list may be amended and slightly be modified from initial offer: sizes, colours, or models ; without prior notice.
9. Orders once confirmed cannot be cancelled, nor can deposits paid to secure orders be refunded for any reason.
10. Goods are shipped after complete payment is received. Consequently, Eceelot remains the legal owner of the goods until complete payment is made by the buyer, before shipment.
11. Likewise, goods once sold cannot be returned or exchanged, unless we previously agreed, especially in case of a manifest mistake from our side, or in case of defective product.
12. All claims must be done within a 48 hours delay from delivery date, BY FAX ONLY (+33 494 866 823 including buyer's detail, proforma number and/or invoice number, nature of the problem). After that delay, sale is considered as final (= closed). Before returning any product, buyer must obtain return merchandise authorization from Eceelot. No such returns of any type will be accepted without such prior authorization. Any products defective due to mishandling are not accepted for credit or exchange.
13. Stocklots business is based on "limited quantity", sold to 1st come, subject to unsold.
14. Payment is always before delivery. We accept bank wire transfer, Letter of Credit, Fly & Buy (only after payment of a deposit), credit card in our offices.
15. All orders are shipped ex-works warehouse in France unless otherwise stated, and the time before shipment is generally from 1 to 2 business days after payment is confirmed in our bank. In case of longer delay, special notice will be made.
16. Certain offers are area-restricted, based on Trademark Law, and cannot be sold in some parts of the world. Special mention will be specified in such cases.
17. Eceelot cannot be responsible of any investigations, law suits, or wathsoever, from any third-party, regarding the method of distribution of the buyer.
18. Additionnal and terms and conditions may apply in some specific cases. In such situation, particular instructions will be mentionned on proforma invoice.
19. Both buyer and Eceelot Sarl agree to do all efforts to solve all legal situations on a friendly manner, with good faith.
20. Only the courts of the city of the Eceelot Sarl will be eligible to arbitrate any legal issues which would not been previously resolved in a friendly way.
